Portability Terms of Use

Status: OWNER-APPROVED LAUNCH WORDING — PUBLISHED SEPTEMBER 30, 2026 — PROFESSIONAL REVIEW DEFERRED

Effective date: September 30, 2026.

These Terms form an agreement between you and AI Lead Lab LLC, a Florida limited liability company, with mailing address 7901 4th St N, Ste 300, St. Petersburg, FL 33702, United States ("Portability," "we," "us"). When account creation or a material change requires acceptance, Portability presents an initially unchecked agreement control with direct links to the Terms and Privacy Notice and records the accepted versions and UTC timestamp. By completing that acceptance or using Portability where continued use lawfully constitutes acceptance, you agree to these Terms and the Privacy Notice. Mandatory local consumer rights continue to apply.

Portability is intended to be available worldwide wherever the service is legally, technically, commercially, provider, payment, and store supported. Particular features, purchases, providers, or transactions may be unavailable in a country until their applicable consumer, privacy, tax, child-safety, payment, provider, transfer, disclosure, and operational requirements are satisfied. Portability will not represent an unavailable capability as active.

Eligibility, accounts, and parents

You must have legal capacity to use adult Portability features. A parent or legal guardian must authorize and control Kid's Corner use by a child under 13 and complete the approved parental-consent process. Keep credentials and parent PINs secure, provide accurate information, and notify support@portabilityapp.net of unauthorized use.

Travel planning and provider information

Portability helps organize trips, estimate available time, consider leave/stay choices, find activities, save information, and interact with supported providers. Planner outputs are advisory estimates, not guarantees. Conditions, traffic, security, immigration, boarding, venue hours, weather, and provider information can change. You remain responsible for your timing, safety, documents, decisions, reservations, check-in, boarding, and return deadlines. Portability does not guarantee any flight, ship, train, event, booking, reservation, price, inventory, or outcome.

Provider prices, availability, rules, taxes, fees, cancellation terms, refunds, and fulfillment remain provider facts. A capability may be unavailable by country or provider. Portability does not display invented inventory or treat an unverified request as a confirmed booking.

Memberships and digital purchases

Prices and taxes shown at checkout control. Deleting the app or Portability account does not itself cancel an Apple/Google subscription. Travel bookings, guides, VIP experiences, merchant offers, and other non-store provider transactions are governed by the Portability terms displayed for the transaction and the applicable merchant, provider, payment, cancellation, and refund terms. X.com/X Payments is not a Portability payment provider. This exclusion does not alter the separately capability-gated Xaman/XRPL functionality described below.

Referrals and sponsor commissions

Referral attribution is direct-only, with a 30-day attribution window and the most recent valid referral before signup. The original direct sponsor becomes permanent except for verified fraud, duplicate/self-referral correction, or legitimate administrative correction. Referral attribution does not give a sponsor access to a referred person's identity, private travel, transactions, or communications.

An active Insider, Creator, or Lifetime Creator sponsor may earn 20% of each actual qualifying paid Insider or Creator subscription payment, calculated before Portability's own store/payment/vendor fees. Each payment has its own 30-day Pending period. Refunds, reversals, or chargebacks remove Pending commission or create an offset against future commissions after payout. Free sponsors are non-commissionable; the relationship remains attached but otherwise eligible revenue goes to Portability while the sponsor is Free. No back-pay accrues for a non-commissionable period.

Self-referrals, duplicate/artificial accounts, manufactured transactions, impersonation, misleading promotion, and fraud are prohibited. Suspected fraud may place earnings in Held status. Confirmed fraud cancels related unpaid earnings, permits lawful offsets, and may result in a lifetime ban. Portability will provide notice and any appeal or cure process required by law; no recovery beyond approved offsets or a lawful fraud remedy is authorized by this candidate.

Booking and purchase commission override

When a direct signup creates eligible booking or purchase commission that Portability actually receives and the provider permits sharing, 50% goes to the commissionable sponsor and 50% to Portability. The purchaser does not receive part of this provider commission. Provider-prohibited commission sharing is retained by Portability. No share is due when a cancellation/refund leaves Portability with no retained provider commission. Later reversals may be offset against future booking/purchase commissions, except where fraud or law permits another remedy.

Earnings, KYC, tax, and payouts

Referral and booking/purchase commissions are tracked separately but paid through one balance. Available balances are paid weekly after reaching USD 25 and completing required KYC, tax, and payout verification. RLUSD is the default approved payout method where supported, with XRP or fiat only where approved and available. One payout uses one selected method/asset.

Legitimate earnings may continue accruing as Held when verification lapses and are released after verified restoration. Failed payouts remain pending for correction and a later cycle. Users are responsible for accurate payout details and their taxes. Portability may apply lawful holds, reversals, offsets, reporting, and anti-fraud controls. Live earning and payout capabilities remain unavailable until the applicable provider, regional eligibility, payee/tax disclosures, abandoned-property and account-closure rules, and liability terms are approved and presented to the user.

Bookings, rewards, savings, and price match

Before purchase, Portability or the provider will identify the seller/merchant of record, total price, taxes/fees, cancellation/change/refund rules, and fulfillment source where available. Provider terms control provider inventory and services. Portability Points are promotional loyalty value, not cash, property, stored value, or a transferable balance; expiration and redemption rules shown in the app apply. Savings totals include only supported, verifiable sources. Approved price-match value is provided through supported credits/points or booking adjustment, not a cash payout.

Creator, livestream, community, and tips

Creator membership adds public profile, content, livestream, replay, tip, offer, analytics, and earning tools only where the necessary provider and legal capability is active. Creators keep ownership of their content. Before public Creator/UGC publication is enabled, a separate approved Creator addendum will grant Portability only a non-exclusive, worldwide, royalty-free license, sublicensable solely to service providers, to host, copy, transcode, display, distribute, moderate, and operate the content for Portability and the Creator's selected promotion. That license ends when the content is deleted except for lawful evidence, finite backup residue, already-completed distributions, and copies another user is legally entitled to retain. It does not transfer ownership or authorize unrelated merchandising or AI training.

Creators must own or have rights to content; follow the Community Standards; comply with advertising, endorsement, music, publicity, privacy, location, safety, tax, and applicable platform rules; and not promise guaranteed audience or earnings. Portability may moderate, restrict, remove, preserve evidence, or suspend content/accounts for safety, policy, legal, or provider reasons, with one appeal where the approved rules provide it. Creator replays expire after 30 days unless made private, downloaded, or deleted sooner. Tips are voluntary digital purchases and do not buy ownership, control, or guaranteed service from a Creator.

Kid's Corner

Kid's Corner is parent-controlled and private by default for children under 13. A verified parent controls entry, age band, settings, library, creations, exports, and deletion. Children cannot access adult navigation, direct purchases, public/social/Creator/live features, wallet/crypto, precise location, or behavioral advertising. No production verifiable-parental-consent or child-generation provider is configured; therefore child personal-information processing and generation remain unavailable at launch. The capability may be activated only after the required parental-consent, child-safe-provider, store, physical-QA, and legal gates pass and the Children's Privacy Notice is updated.

Xaman, XRPL, and digital assets

Portability is non-custodial. It does not request or accept wallet seeds or private keys. Xaman links, public addresses, and public-ledger transactions may be visible on XRPL. Network, issuer, liquidity, exchange, volatility, provider, legal, and geographic risks apply. Portability does not guarantee asset value, convertibility, settlement, availability, or recovery. Mainnet and live payout use require separate activation and the terms shown at that time.

Prohibited conduct

Do not violate law or third-party rights; exploit or endanger children; threaten, harass, hate, defraud, impersonate, spam, manipulate referrals/commissions/reviews/votes, bypass safety or capability controls, scrape or interfere with the service, upload malware, infringe IP/privacy/publicity rights, or use Portability for prohibited financial or dangerous activity. Community features also follow the Community Standards.

Suspension, termination, and deletion

You may stop using Portability and request account deletion. Store subscriptions must be cancelled through the store. Voluntary deletion ends future commission eligibility. Future house revenue is not owed to a former sponsor. If live earnings are later activated, a valid unpaid commission balance below USD 25 is forfeited at voluntary closure; a valid balance at or above USD 25 remains subject to settlement, verification, lawful holds, offsets, payout capability, and applicable unclaimed-property law.

Portability may immediately restrict access when reasonably necessary for child safety, security, fraud, illegality, or provider/store compliance. For other material violations, Portability will provide notice and a reasonable cure opportunity where practicable. One appeal is available for eligible moderation decisions. Deletion and termination do not erase obligations or records that lawfully must remain for financial, tax, fraud, dispute, safety, compliance, and audit purposes. Live earning and payout capabilities remain unavailable until the applicable provider, regional, verification, tax, and legal gates pass.

Disclaimers, liability, indemnity, and disputes

Portability is provided “as is” and “as available” to the maximum extent allowed by law, subject to every mandatory warranty and consumer right. Third-party travel and provider services are not controlled by Portability except to the extent expressly stated.

To the maximum extent allowed by law, Portability is not liable for indirect, incidental, special, exemplary, or consequential damages. Portability's aggregate liability for claims arising from the same or related events is limited to the greater of USD 100 or the amount the claimant paid for Portability's own services, including through an authorized app store, during the 12 months before the event giving rise to the claim. The calculation excludes the value of flights, hotels, transportation, tours, bookings, merchant purchases, taxes, fees, and other third-party provider transactions. This limit does not apply where liability cannot lawfully be limited, including applicable fraud, willful misconduct, gross negligence, death or personal injury, or mandatory privacy and consumer remedies.

You will indemnify AI Lead Lab LLC only against third-party claims caused by your fraud, unlawful misuse of Portability, or infringement of another person's intellectual-property, privacy, publicity, or other rights. This obligation does not cover ordinary good-faith use, Portability's own conduct, or liability that cannot lawfully be shifted.

Florida law governs these Terms without regard to conflicts rules. To the extent legally permitted, the state and federal courts located in Miami-Dade County, Florida have exclusive jurisdiction and venue. Non-waivable consumer rights and any legally mandatory forum remain available. These Terms do not impose mandatory arbitration, a class-action waiver, a shortened claim period, or a jury-trial waiver. Any future addition of mandatory arbitration or a class-action waiver requires separate, explicit owner authorization and lawful acceptance by the affected user.

Changes and contact

We will give legally required notice of material changes. Continued use after an effective change constitutes acceptance only where lawful; additional consent will be requested where required.
